GAS EMISSION CONTROL WORKS

BRIEF SCOPE OF SERVICES

1.                        Scope of Services

1.1.            The Services shall include, but are not limited to, provision of personnel, Vehicles, Equipment, material and any other necessary resources as and when required by the Company, to carry out the Gas Emission Control Works as described in the Contract at Ahmadi Township, Magwa, Dhahar, Airport area, Company’s oil fields in South & East Kuwait (S&EK), North Kuwait (NK) and West Kuwait (WK) area complete with provision of all work which could be reasonably deemed necessary and as described in the Contract to complete the Services or as described in each Service Order. The Services are briefed as follows;

1.1.1    Gas Emission Monitoring and Associated Services;

1. Carrying out In-situ gas monitoring service using gas instrument or device, automation system for underground gas monitoring services, continuous subsurface gas monitoring and automation of control room as per Technical Specification Part I of Appendix-A to Contract Specification.

2. Collecting and reporting the gas emission data using Plunger Bar, GMI Gas Surveyor 500, and Multi Gas Detector etc. from various locations as instructed by the Company including carrying out daily monitoring survey of boreholes and venting wells.

3. Perform the measured works, additional installations, modifications, and other associated works.

4. Respond to urgent service requests to measure and monitor gas leaks as required with written approval by the Superintendent.

1.2              Additional Services by Service Order

1.2.1    Services under the Contract shall be as set forth above. Notwithstanding the Services to be performed under the Contract, Company may issue additional Services to be performed by Contractor through a Service Order. Contractor shall provide the Services set forth in each Service Order on such terms as shall be mutually agreed upon therein. The Service Order shall be in the form attached hereto as Appendix E to Contract Specification. Such Service Order shall specify in detail the Services to be rendered, including, but not limited to:

(a) A description of the Services to be performed and work product to be delivered;

(b) The compensation to be paid to Contractor for the satisfactory performance of the   Services;

(c) The schedule for the performance of the Services, including the required commencement date of the Services, the required completion date for the Services, and, if applicable, the required completion date for any phases of the Services;

(d) Any special conditions agreed upon by the parties;

(e) Any additional notice requirements under the Service Order; and

(f) A list of supervisory personnel assigned to perform the Services.

1.2.2    All Service Orders, and the Services to be performed in accordance therein, are subject to the terms and conditions of the Contract and in the event of any conflict or inconsistencies between the Contract documents and the Service Order, priority shall be established in accordance with clause 1 of the Memorandum of Agreement.

1.3              Carrying out regular maintenance and calibration of all Equipment which may include the tools, equipment and devices supplied by Company as well. The cost of all kind of maintenance and calibration of tools, equipment and devices shall be deemed included in the Contract Price. Calibration of all devices shall be carried out by trained & certified Technicians.

1.4              With reference to clause 11 of General Conditions of the Contract, the Company personnel may visit the “Gas Monitoring Instruments” manufacturer’s facilities in the country of manufacturing for Factory Acceptance Test, inspection, testing and approval prior to shipping. The expenses for Company personnel visit shall be borne by the Company. The Contractor shall co-ordinate for such visit.

1.5              The Company shall provide a dedicated “Control Room” with existing equipment and facilities for monitoring and controlling the Services of the Contract at no cost to the Contractor. The Contractor shall provide any additional Equipment and other facilities for the “Control Room” which shall be required for execution of the Services under the Contract and the cost of such equipment and other facilities shall be deemed included in the Contract Price. The Contractor shall carryout the required maintenance and modification work in the Control Room, as instructed by the Superintendent’s Representative, which shall include A/C, furniture and other facilities. The Contractor shall upgrade & replace the electrical equipment (as required), electronic & IT equipment such as screen, projectors & all other IT equipment as directed by the Superintendent’s Representative. The cost of such maintenance, modification, upgradation, replacement and other essential activities shall be deemed included in the Contract Price. Upon expiry of the Contract, these facilities shall be handed over to the Company in good condition without any extra cost to the Company.
